1. STANDARDVILKÅR
1.1. Kverneland Energi AS (heretter «Selger») baserer sine leveranser på bransjens standardvilkår for å sikre forutsigbarhet og profesjonalitet i alle ledd.
1.2. Ved levering av utstyr og komponenter gjelder NL 17.
1.3. Ved systemleveranser som inkluderer montering og ferdigstilling, gjelder NLM 19.
1.4. Kjøper anses å være kjent med disse vilkårene. Dokumentene kan oversendes på forespørsel.
2. SÆRSKILTE BESTEMMELSER (KVERNELAND ENERGI SPESIFIKASJONER)
Som teknologileverandør gjelder følgende tillegg til de ovennevnte standardene:
2.1. Programvare Selger beholder alle rettigheter til programvare og algoritmer. Kjøper gis en bruksrett begrenset til anleggets levetid. Selger forbeholder seg retten til å utføre kritiske sikkerhetsoppdateringer digitalt.
2.2. Driftsdata Selger har rett til å aggregere og benytte anonymiserte driftsdata fra anlegget for systemforbedring og prediktivt vedlikehold.
2.3. Referansebruk Med mindre konfidensialitet er eksplisitt avtalt, har Selger rett til å benytte bilder og anonymisert prosjektinformasjon i egen markedsføring.
2.4. Infrastruktur Kjøper er ansvarlig for at lokal IT-infrastruktur og internettilgang tilfredsstiller Selgers tekniske krav for systemovervåking.
GENERAL TERMS AND CONDITIONS OF SALE – INTERNATIONAL
1. STANDARD INDUSTRY CONDITIONS
1.1. Kverneland Energi AS (hereinafter «the Seller») bases its deliveries on recognized international industry standards to ensure transparency and professionalism in every transaction.
1.2. For the supply of products, equipment, and components, Orgalim S 2022 shall apply.
1.3. For system deliveries, including installation and commissioning, Orgalim SI 24 shall apply.
1.4. The Buyer is deemed to be familiar with these conditions. Licensed copies of the full terms can be provided upon request.
2. SPECIAL PROVISIONS (KVERNELAND ENERGI SPECIFICATIONS)
As a technology-driven provider, the following additions apply to the aforementioned standards:
2.1. Software and Intellectual Property The Seller retains all intellectual property rights to proprietary software, source code, and algorithms. The Buyer is granted a non-exclusive right to use the software for the operational life of the system. The Seller reserves the right to perform critical security and stability updates via remote digital transmission (OTA).
2.2. Operational Data The Seller reserves the right to collect, aggregate, and utilize anonymized operational data from the installation. This data is used solely for system optimization, technical support, and predictive maintenance to ensure the best possible performance for our customers.
2.3. Marketing and References Unless explicit confidentiality is agreed upon in writing, the Seller has the right to utilize photographs, video, and anonymized project information in its marketing and professional publications.
2.4. Local Infrastructure The Buyer is responsible for ensuring that the local IT infrastructure and internet connectivity satisfy the Seller’s technical requirements for system monitoring and remote support. The Seller is not liable for system downtime caused by deficiencies in the Buyer’s local network.
